Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of Infinity ("the Platform"), a business operations platform developed and operated by Murua Home (Pty) Ltd ("we", "us", or "our"), a company registered in Botswana.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
2. Definitions
"Platform" means the Infinity software application, including all web interfaces, APIs, mobile applications, and related services.
"User" means any individual or entity that accesses or uses the Platform, including employees, administrators, and client portal users.
"Tenant" means an organisation that has subscribed to the Platform and operates within its own isolated data environment.
"Content" means any data, documents, files, communications, or other materials uploaded to or generated within the Platform.
3. Account Registration and Security
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorised use of your account or any other security breach. We will not be liable for any loss arising from your failure to safeguard your credentials.
We reserve the right to suspend or terminate accounts that violate these Terms or that pose a security risk to the Platform or other users.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems
- Interfere with or disrupt the Platform's infrastructure, security, or performance
- Upload malicious software, viruses, or harmful code
- Reverse engineer, decompile, or attempt to extract the source code of the Platform
- Use automated tools to scrape, crawl, or extract data from the Platform without written permission
- Share your account credentials with unauthorised third parties
- Resell or redistribute access to the Platform without our written consent
5. Data Ownership and Content
You retain ownership of all Content you upload to the Platform. By using the Platform, you grant us a limited licence to store, process, and display your Content solely for the purpose of providing the Platform services.
We do not access, share, or sell your Content to third parties, except as required by law or as necessary to provide Platform services (e.g., generating reports you request).
You are responsible for ensuring that your Content does not infringe any third-party intellectual property rights, privacy rights, or applicable laws.
6. Intellectual Property
The Platform, including its design, code, algorithms, user interface, documentation, and all related intellectual property, is owned by Murua Home (Pty) Ltd and is protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited right to use it in accordance with these Terms.
7. Service Availability
We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We will make reasonable efforts to notify Tenants of scheduled maintenance in advance. We are not liable for any loss or damage arising from Platform downtime or service interruptions.
8. Fees and Payment
Access to the Platform is subject to the subscription fees outlined in your service agreement. All fees are quoted in the currency specified in your agreement and are exclusive of applicable taxes unless stated otherwise.
Failure to pay fees when due may result in suspension or termination of access to the Platform. We reserve the right to adjust fees upon 30 days' written notice.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of the Platform.
Our total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the fees you have paid to us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Murua Home (Pty) Ltd, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your Content, or your violation of these Terms.
11. Termination
Either party may terminate the service agreement in accordance with the notice provisions in your subscription contract. Upon termination, your access to the Platform will be revoked, and your Content will be available for export for 30 days, after which it may be permanently deleted.
We may immediately suspend or terminate your access if you materially breach these Terms, engage in fraudulent activity, or pose a risk to the Platform or other users.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Botswana. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Botswana.
14. Data Protection
We are committed to compliance with the Botswana Data Protection Act (2018) and the Protection of Personal Information Act (POPIA) where applicable to cross-border data processing. We implement appropriate technical and organisational measures to protect personal data against unauthorised access, alteration, disclosure, or destruction.
15. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated to Tenants via email or in-app notification at least 14 days before taking effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
